DormDrop Terms and Service
These Terms of Service ("Agreement") are entered into by and between DormDrop LLC ("DormDrop," "Company," "we," "us," or "our") and you, the user ("User," "Customer," or "Deliverer"). This Agreement governs the access to and use of DormDrop's platform ("Service"), a food delivery service intended for students at Grand Canyon University ("GCU"). By accessing, using, or otherwise interacting with the Service, you acknowledge and agree to be bound by the terms set forth herein.1. ELIGIBILITYCustomers: To use the Service as a Customer, you must be a current student at Grand Canyon University.
Deliverers: To use the Service as a Deliverer, you must be a current student at Grand Canyon University, possess a valid food handler’s card, and maintain an active Stripe account.2. SERVICES PROVIDEDCustomer Services: Customers may place orders from participating on-campus restaurants and select a designated campus residence building for delivery. Special requests such as drinks or napkins may be added to orders. Upon acceptance by a Deliverer, the Customer will incur a delivery fee based on the order's total cost. The delivery fee consists of a base cost of $3 plus 10% of the meal cost.Platform Fee: A platform fee of 15% will be applied to the total delivery cost, which includes the $3 base fee and the 10% meal cost portion. This fee helps support the operation of the platform and is subject to change at DormDrop's discretion.Deliverer Services: Deliverers, upon approval by DormDrop, may accept orders via the Service and ensure timely and accurate delivery of orders to specified locations on campus. Deliverers will be compensated via Stripe payments for each successfully completed delivery.3. USER RESPONSIBILITIESCustomers: Customers must provide accurate and complete information when placing an order and cooperate with Deliverers in a professional and respectful manner. Customers agree to pay all fees associated with their orders and comply with the Service’s policies.Deliverers: Deliverers agree to maintain their food handler’s certification, adhere to all applicable food safety regulations, accept and deliver orders in a timely and professional manner, and maintain an active Stripe account. Deliverers must comply with DormDrop’s rating system and provide service in accordance with applicable laws and regulations.4. FEES AND PAYMENTSCustomers: Customers are responsible for paying all fees associated with their orders, including the delivery fee (which includes the $3 base cost plus 10% of the meal cost), the platform fee (15% of the delivery fee), and the cost of food, which will be processed via Stripe.Deliverers: Deliverers will receive compensation for their services, processed via Stripe. Deliverers are responsible for reporting and paying any applicable taxes related to their earnings.5. CANCELLATION AND REFUNDSCustomers may cancel an order before it is accepted by a Deliverer.
Once an order has been accepted by a Deliverer, it cannot be canceled, and no refund will be issued unless there is a fault in delivery or order fulfillment.
Deliverers may cancel an order under exceptional circumstances, in which case DormDrop will work with the Customer to find a resolution.6. RATINGS AND FEEDBACKCustomers are encouraged to rate Deliverers after completing an order. A Deliverer's rating below 2.5/5 may result in suspension or removal from the platform.
Deliverers may also provide feedback on Customers. DormDrop reserves the right to suspend or remove any User, whether Customer or Deliverer, based on consistently poor ratings or feedback.7. PRIVACY AND DATA PROTECTIONDormDrop collects personal data in accordance with our Privacy Policy. By using the Service, you consent to the collection, storage, and use of your personal data for processing orders and payments.8. ACCOUNT SUSPENSION AND TERMINATIONDormDrop reserves the right to suspend or terminate User accounts that violate this Agreement, engage in fraudulent activity, or fail to meet DormDrop’s eligibility requirements.
Users may request account termination by contacting DormDrop support; however, termination will not affect payment obligations incurred prior to termination.9. INDEMNIFICATIONIndemnity by Users: You agree to indemnify, defend, and hold harmless DormDrop, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, demands, suits, actions, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Service, your breach of this Agreement, your violation of any laws, or your infringement of any third-party rights.Indemnity by DormDrop: DormDrop agrees to indemnify, defend, and hold harmless Users from any claims, demands, suits, actions, losses, damages, liabilities, costs, and expenses arising from DormDrop’s gross negligence or willful misconduct in providing the Service.10. LIMITATION OF LIABILITYGeneral Liability: DormDrop shall not be liable for any injury, loss, or damage of any kind, including bodily injury, property damage, or loss of food quality or safety, arising from or related to your use of the Service.Food Quality: DormDrop does not warrant or guarantee the quality, safety, or condition of food provided by participating restaurants. All food is consumed at the Customer's own risk. DormDrop disclaims any responsibility for food-related issues, including but not limited to contamination, allergies, and foodborne illnesses.Injury or Property Damage: DormDrop shall not be liable for any injuries or damages resulting from the actions of Deliverers, including accidents during delivery, mishandling of food, or any other conduct related to the delivery process.Limitation of Damages: Under no circumstances will DormDrop’s liability exceed the total amount paid by the User for services rendered within the 30-day period preceding the claim.11. FORCE MAJEUREDormDrop shall not be held liable for failure to perform under this Agreement, or for delays, resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, strikes, war, terrorism, technological failures, or governmental actions.12. THIRD-PARTY LINKS AND SERVICESThe Service may contain links to third-party websites or services. DormDrop does not endorse, control, or assume responsibility for the content or services of any third-party websites. Your use of such third-party services is at your own risk and governed by the terms and conditions of those services.13. DISPUTE RESOLUTION AND ARBITRATIONArbitration Agreement: Any dispute, claim, or controversy arising from or relating to this Agreement or the use of the Service shall be resolved by binding arbitration, rather than in court, except as provided below.Arbitration Location and Rules: Arbitration will be conducted in the State of Arizona in accordance with the rules of the American Arbitration Association ("AAA"). The prevailing party shall be entitled to reasonable attorney’s fees and costs.Exceptions: Notwithstanding the arbitration clause, either party may seek injunctive relief in a court of competent jurisdiction to prevent harm to its intellectual property or prevent other irreparable harm.14. TERMINATION OF SERVICEDormDrop’s Right to Terminate: DormDrop reserves the right, at its sole discretion, to suspend, terminate, or limit access to the Service for any User that breaches this Agreement, engages in unlawful or disruptive behavior, or for any other reason, with or without notice.User’s Right to Terminate: Users may terminate their account at any time by contacting DormDrop customer support. Termination does not relieve the User from any payment obligations incurred prior to termination.15. NO WARRANTYNo Warranty: DormDrop makes no representations or warranties, express or implied, regarding the quality, accuracy, or reliability of the Service. The Service is provided "as is" and "as available."No Guarantee of Availability: DormDrop does not guarantee that the Service will be uninterrupted, error-free, or secure, and is not responsible for any interruptions in service or loss of data.16. ELECTRONIC COMMUNICATIONBy using the Service, you consent to receiving electronic communications from DormDrop, including notices, agreements, and updates related to the Service. Such communications may be sent via email or through notifications on the platform.17. SEVERABILITYIf any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.18. USER CONDUCTUsers agree to comply with all applicable laws and regulations, and to refrain from using the Service for any unlawful, fraudulent, or harmful activities, including but not limited to harassment, spam, or attempts to disrupt or manipulate the Service.19. MODIFICATIONSDormDrop reserves the right to amend or update these Terms of Service at any time. Any modifications will be posted on the platform, and continued use of the Service constitutes acceptance of the updated terms. The delivery cost structure and platform fees are subject to change, and such changes will be communicated to Users prior to implementation.20. GOVERNING LAWThis Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflicts of law principles.21.
